Richard
A. Weintraub is the Founder and Managing Partner of Weintraub Law Group
PC. Practicing law for 30 years, Rick is an 'AV'-rated attorney by
Martindale Hubble. He has been Lead Counsel in more than 400 public and
private offerings and more than 200 mergers and acquisitions. Rick has
extensive experience in the negotiation and structuring of hundreds of
business transactions. He specializes in the formation of business
entities; venture capital transactions; mergers, acquisitions, and
divestitures; public and private offerings, and debt financing.
Rick
represents clients in a wide range of industries, including but not
limited to, computer technology, biotechnology, medical services,
finance and investment, communications, marketing, transportation, and
real estate development. These transactions have been accomplished
through such entities as corporations, limited liability companies,
REITS, REMICS, business trusts, and limited partnerships.
With significant hands-on working
knowledge of the relevant issues in his specific practice areas, Rick is often called upon to
provide expert testimony in some of the most complex and challenging
cases. He is uniquely qualified in the San Diego area to assess
hypothetical fact patterns that may be analogous to actual
areas of testimony and provide keen insight of how the application of
the
law applies to those fact patterns. Rick prides himself on providing
superior
services in an expeditious manner for a reasonable price. He has
recently supplied testimony about (i) Rule 144 issues, (ii) Regulation
D preemption over state law under Section 18 of the Securities Act of
1933, (iii) the demand futility in shareholder derivative actions and

With significant direct
relevant experience, Rick brings a
solid and unique perspective to the mediation table. He provides mediation services for complex
corporate and securities law transactional disputes. Most mediators do
not have significant experience in these areas. Drawing from
experience to expeditiously assimilate facts and assess strengths and
weaknesses of complex fact patterns, Rick analyzes,
evaluates, and consistently fashions the fair resolutions of disputes.
He
also has considerable experience in the representation of hedge funds
and private equity funds. Currently, he represents hedge fund offerings
exceeding $200 million.
Rick earned a Bachelor of Arts degree
from University California Los Angeles in 1975 and Juris Doctorate
degree from Loyola Marymount University, Los Angeles, in 1978. He was
admitted into the U.S. Claims Court in 1984; the U.S. Tax Court in
1985; the U.S. District Court, Central District of California in 1993;
and the U.S. District Court, Southern District of California in 1994.
Rick has also been an instructor of tax and securities law courses at
UCLA, University California San Diego, and University of San Diego. He
recently instructed a course entitled "Securities Law Implications for
the Emerging Growth Business" at UCSD.

Kathryn Harvey is an Associate Attorney at Weintraub Law Group PC. Kathryn represents clients in State Courts throughout California and in various mediation and arbitration forums. Her practice focuses on complex civil litigation in the areas of business, unfair competition, and contract law. Kathryn is experienced in all phases of the litigation process—from investigating claims to resolution. Her litigation experience includes law and motion filings, drafting and arguing motions, representing clients in mediation and arbitrations, taking and defending depositions, and representing clients in court on wide-ranging litigation issues. Kathryn’s most recent litigation topics include defending and prosecuting contract disputes, fraud claims, unfair competition law, professional liability issues, trade secret liability issues, and various other business litigation disputes.
Kathryn earned a Bachelor of Science degree from San Diego State University in 1999 and a Juris Doctorate degree from University of San Diego School of Law in 2005, where she graduated in the top quarter of her class, and received honors for her position representing indigent clients at the school’s Civil Law Clinic. Kathryn was named ‘Best Advocate’ in her legal research and writing class and was also a member of Phi Delta Phi, an honors legal society.

Sara Scott works for Weintraub Law Group, PC as an Associate Attorney. Sara works mostly as a transactional attorney assisting clients with various corporate, securities, and taxation issues. Most recently Sara has assisted in the formation of various entities, provided advice for a merger and assisted with securities litigation cases.
Ms. Scott graduated from Westminster College of Salt Lake City in June 2005 with a Bachelors of Arts degree. Sara received her J.D. from University of San Diego School of Law in May 2010 and received her LL.M. in Taxation from USD School of Law in May 2011. Sara was a member of Women’s Law Caucus and the Mentoring Program at USD. While she was a student, Sara interned for San Diego Volunteer Lawyer Program where she assisted clients with their various estate planning, taxation, and financial issues. Sara also interned with YWCA of San Diego, assisting victims of domestic violence with restraining orders, child custody and other related matters.

Kiersten worked in the legal field as a legal secretary for 6 years before obtaining her paralegal certificate from University of California, San Diego in 2007. During the first seven years she worked at a small firm specializing in juvenile dependency appeals and material witness cases. Additionally, she has two years experience in litigation as well as transactional community association matters.
